These Terms of Service ("Terms") govern your use of the services provided by Dmitri Lee, d/b/a Presales Navigator ("we," "us," or "our"), including the Deal Lab AI application, Deal Lab Coach training tool, and the presalesnavigator.com website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Services Overview

1.1 Deal Lab AI

Deal Lab AI is a subscription-based AI deal inspection tool that helps presales professionals analyze deals using the COMPASS, SAIL, and ANCHOR frameworks. Available at deallab.presalesnavigator.com.

1.2 Deal Lab Coach

Deal Lab Coach is a free, self-paced AI training tool that teaches the Presales Navigation System frameworks. Available at deallab.presalesnavigator.com/training. Deal Lab Coach is provided free of charge with a daily credit limit.

1.3 Website and Content

The presalesnavigator.com website provides information about our training programs, tools, and the Presales Navigation System methodology.

2. Account Registration

To use Deal Lab AI or Deal Lab Coach, you must create an account through our authentication provider (Clerk). You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.

You must be at least 18 years old to create an account and use our Services.

3. Subscriptions and Payment

3.1 Free Trial (Deal Lab AI)

Deal Lab AI offers a 14-day free trial with full access. No credit card is required to start the trial. After the trial period, a paid subscription is required for continued access.

3.2 Subscription Fees

Deal Lab AI is offered at $49/month. Pricing is subject to change with 30 days' notice to existing subscribers. Payment is processed through Stripe.

3.3 Billing and Renewal

Subscriptions renew automatically at the end of each billing period. You authorize us to charge your payment method on file for each renewal period.

3.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access through the end of your current billing period. No refunds are provided for partial billing periods. After cancellation, your past sessions remain accessible in read-only mode.

3.5 Credit Top-Ups (Deal Lab Coach)

Deal Lab Coach credit top-ups are one-time purchases. Credits do not expire. Credit purchases are non-refundable.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse-engineer, decompile, or extract the source code of the Services
• Use automated systems (bots, scrapers) to access the Services
• Share account credentials with others or allow unauthorized access
• Attempt to circumvent usage limits, credit systems, or access controls
• Use the Services to develop a competing product or service
• Upload or transmit malicious code, viruses, or harmful content
• Misrepresent your identity or impersonate another person

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Intellectual Property

5.1 Our Intellectual Property

The Presales Navigation System, including the COMPASS, SAIL, and ANCHOR frameworks, all training content, methodologies, forcing moves, deal clinic mechanics, stories, and associated materials are the exclusive intellectual property of Presales Navigator. All rights are reserved.

The Services, including their design, code, and content, are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of all deal information, business data, and other content you enter into the Services ("Your Content"). By using the Services, you grant us a limited license to process Your Content solely for the purpose of providing the Services to you.

We do not use Your Content for marketing, case studies, or any purpose other than delivering the Services, unless you provide explicit written consent.

5.3 AI-Generated Output

Analysis, coaching responses, and other output generated by the Services ("Output") is provided for your internal use. You may use Output in your work (deal reviews, presentations, planning). You may not use Output to create a competing training methodology, product, or service.

6. AI Processing Disclosure

Deal Lab AI and Deal Lab Coach use Anthropic's Claude API to process your inputs and generate responses. By using these Services, you acknowledge and agree that:

• Your inputs are transmitted to Anthropic's API for processing
• Your data is not used by Anthropic to train AI models (per Anthropic's API terms)
• AI-generated output may contain errors, inaccuracies, or incomplete analysis
• You are responsible for reviewing and validating all AI-generated output before acting on it
• You should not enter information that violates your employer's data classification policies, confidentiality agreements, or regulatory requirements

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, error-free, or secure
• AI-generated analysis or coaching will be accurate, complete, or suitable for your specific situation
• Use of the Services will result in specific business outcomes, deal results, or revenue improvements
• The frameworks and methodologies taught will produce particular results in your organization

The Services are educational and analytical tools, not professional business advice. Results depend on your judgment, effort, and application of concepts in practice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESALES NAVIGATOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL PRESALES NAVIGATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DEALS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, REGARDLESS OF THE THEORY OF LIABILITY.

9. Indemnification

You agree to indemnify and hold harmless Presales Navigator from any claims, damages, or expenses (including reasonable attorney fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

Upon termination, your right to use the Services ceases immediately. Sections 5, 7, 8, 9, and 13 survive termination.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. For material changes affecting paid subscriptions, we will provide at least 30 days' notice. Your continued use of the Services after changes constitutes acceptance.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

13.2 Dispute Resolution

Any dispute arising under these Terms shall first be submitted to good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Palm Beach County, Florida, with each party bearing its own costs.

13.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

13.4 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Presales Navigator regarding the Services.

13.5 No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

13.6 Assignment

You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
